Vendor Agreement & Payment

All vendors must submit a signed Vendor Agreement and pay the vendor fee.

Vendor Participation Policies and Requirements

EVENT DATE: May 10, 2025

START TIME: 2:00 pm 

END TIME: 11:00 pm

TABLE SPACE/DISPLAY: You will be shown your designated space upon arrival. Unless otherwise noted, you are responsible for providing your table, chairs, and all other setup items, i.e. decorations, fixtures, etc. All spots must have signs that identify the individual or company registered. No business may be conducted or solicited outside of your assigned space. Designated spaces will measure 10ft x 10ft and must not exceed that size, with the exception of participating food trucks. 

SETUP: Setup times will be sent out the week before the event and will be strictly enforced. If you arrive after the designated setup time, you will not be allowed to setup and no refund will be issued. Any participants who show up and are not ready for the event will forfeit their space and allow the Event Coordinator to use the space to the benefit of the event as a whole as determined solely in the discretion of the Event Coordinator. Booth/table placement may be notified via email, closer to the date of the event. Vendors must submit menus upon agreeing to participate. Menu changes must be submitted for review to the Event Coordinator at least one week before the event. Vendors who want to be located next to each other must confirm those arrangements in advance with the Event Coordinator.

NO EARLY DEPARTURES: No participant will be allowed to tear down before the end of the event.

FORMS AND PERMIT REQUIREMENTS: Vendors are responsible for submitting all forms and permits by their due dates. Food and Beverage Vendors must fill out form DES-210 for the Riverside County Department of Environmental Health. Failure to do so or failure to meet all requirements listed will result in voiding your participation as a vendor, without any refund.

SECURITY: Vendors are responsible for their equipment and station. A representative for the vendor is required to be present at their booth/table at all times.  Event Coordinators are not responsible for any lost, damaged, or stolen items.

Wi-Fi: Wi-Fi is not provided. Vendors are responsible for providing their own reliable internet access within their space. Processing and service disruptions are the responsibility of the vendor at all times.

TRASH:  It is the vendor’s responsibility to keep their booth space clean during and after the event. Vendors are not allowed to leave any trash behind and must properly dispose of all waste according to Health Department requirements.

FEES AND PAYMENTS: All vendors must submit payment for their vendor fee in full in order to be confirmed for the event. Failure to submit payment by the due date will result in the cancellation of your participation. All payments must be made via electronic transfer or certified check made payable to MTL ELITE LLC.

*Sponsors will receive a booth, have their logo displayed on marketing materials during the festival, and be recognized with an announcement on each stage.

REFUNDS: There will be no refunds for cancellations or no-shows. Upon approval, review all the information provided (e.g. date, location, time, requirements) before placing your payment. If you fail to meet all requirements set by the city or county of Riverside you will forfeit your deposit and will not be able to attend without any refund. The event will be held, rain or shine.

ALCOHOL:  Outside alcohol is not allowed at the event. Alcohol purchased at the event must remain within designated areas at all times. Anyone in possession of alcohol outside of designated areas will be escorted out of the event.

USE OF IMAGES: By participating in the event, La Tardeada Festival, participants consent that any images submitted, business name, business likeliness, or business description may be used for publicity, marketing, and the betterment of the event as a whole. This includes but is not limited to social media, email marketing, printed media, digital media, and any other media that the event coordinator sees fit. Vendors also agree that photos, videos, and other such content may be made of their business, merchandise, and setup by the Event Coordinator/Event Staff for marketing purposes without additional compensation.

VENDOR'S RESPONSIBILITY IN MARKETING: By participating in the event, La Tardeada Festival,  you agree to fulfill the following marketing requirements. (1) two weekly social media posts promoting the event and tagging the event page @latardeadafest, (2) soliciting existing customers to attend the event by directing them to the website for ticket sales.

THEME AND PRESENTATION REQUIREMENTS: All artwork, merchandise, and marketing material must remain in the theme of the event and are required to be family-friendly. Drug, alcohol, nudity, overtly political messages, or explicit content are strictly prohibited.

NO GUARANTEES: La Tardeada Festival does not guarantee attendance, sales, or the outcome of an event.

INDEPENDENT CONTRACTOR:  Vendors’ relationship with La Tardeada Festival, and all entities associated therewith, will be that of an independent contractor subject to the terms and conditions of this agreement.  By way of signing this agreement, vendors agree that this Agreement, and the relationship created thereby, meets the following: (1) vendor is free from the control and direction of La Tardeada Festival in connection with its performance; (2) vendor is performing work that is outside the usual course of La Tardeada Festival; and (3) vendor is customarily engaged in an independently established trade, occupation, or business of the same nature as that provided pursuant to this agreement.

NO EMPLOYMENT RELATIONSHIP:  Nothing contained herein shall be construed to create an employer-employee relationship, partnership relationship, joint venture, or ownership interest between the parties. Vendor is an independent contractor and not an employee of La Tardeada Festival or any entities associated therewith.

VENDOR REPRESENTATIONS/BINDING:  Vendor shall not hold itself out as an employee of La Tardeada Festival or any entities associated therewith.  Vendor has no authority to act, to enter into any contract, or to incur any liability on behalf of La Tardeada Festival or any entities associated therewith.  Vendor shall not hold itself out, either verbally or through conduct, to have the authority to bind La Tardeada Festival or any entities associated therewith without La Tardeada Festival’s consent.  Vendor agrees to indemnify La Tardeada Festival and any entities associated therewith for any claims, lawsuits, or liabilities that arise from vendor’s representations, warranties, or commitments made on behalf of La Tardeada Festival or any entities associated therewith without prior consent.  

INDEMNIFICATION:  La Tardeada Festival has an insurance policy in place to cover the event.  As to any liability not covered by the insurance policy provided, vendors agree to indemnify, defend and hold La Tardeada Festival and any entities associated therewith, including their affiliates and their respective officers, directors, employees, members, managers, agents, and independent contractors harmless from and against any losses, costs, liabilities, damages, claims and expenses, including attorneys’ fees, arising out of any third-party claims related to vendors’ activities, services, and products at La Tardeada Festival.  Vendors’ obligations under this paragraph shall survive the termination of this agreement.

MODIFICATION OR AMENDMENT:  No amendment, change, or modification of this agreement shall be valid unless in writing and signed by the parties hereto. 

INTEGRATION:  This document constitutes the entire understanding and agreement of the parties, and any and all prior agreements, understandings, and representations are hereby terminated and canceled in their entirety and are of no further force and effect.

ATTORNEYS’ FEES:  If there is a dispute between the parties relating to this agreement, the prevailing party is entitled to recover all costs and expenses of any proceedings (including trial, appellate, and arbitration proceedings), including the attorney fees incurred therein.

AUTHORITY:  The undersigned individuals represent and warrant that they have the right, power, legal capacity, and authority to execute this agreement and bind the parties to its terms.

COUNTERPARTS/ELECTRONIC SIGNATURES:  The parties agree that this agreement may be executed in counterparts and signed and transmitted electronically.  The parties agree that electronic versions of this agreement shall bind the parties and be admissible in court in the same manner as an original.   

By signing below you are agreeing to all terms and conditions laid out in this document and confirming your participation in the La Tardeada Festival.

All vendors are required to fill out Form DES-210 as part of their agreement. Failure to submit a properly completed form and a copy of ID will result in the revocation of vendor participation. Email a copy of ID and completed form to vendors@latardeadafestival.com
